Terms of service

Effective Date: [October 11, 2026]
Last Updated: [October 11, 2026]

Welcome to Depthiskin. These Terms of Service (“Terms”) govern your access to and use of the Depthiskin website, online store, content, features, products, services, and related communications (collectively, the “Services”).

The Services and online store are operated for retail sales by:

Goodai Global USA Inc.
101 Progress, STE 200
Irvine, CA 92618
United States
Telephone: +1 (949) 418-8592
General inquiries: info@goodai-global.us
Customer service: customer@depthiskin.com

For purchases made through this website, Goodai Global USA Inc. is the contracting seller unless otherwise expressly stated at checkout.

The Depthiskin brand, trademarks, designs, content, and other intellectual property may be owned by Goodai Global, its affiliates, licensors, or other authorized rights holders. Goodai Global USA Inc. operates this online store under appropriate authorization.

By accessing the Services, creating an account, or placing an order, you agree to these Terms and to any policies incorporated into them, including our Privacy Policy, Shipping Policy, Returns & Refunds Policy, and any promotion-, subscription-, rewards-, referral-, or program-specific terms that apply.

Eligibility

You may use the Services only if you have the legal capacity to enter into a binding agreement in your jurisdiction. If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian.

The Services are not directed to children under 13, and we do not intend to knowingly collect personal information directly from children under 13. COPPA imposes specific parental notice and consent obligations when an online service is directed to children under 13 or has actual knowledge that it is collecting their personal information.

Our Online Store

Our online store is hosted using Shopify and may use Shopify and third-party applications, technologies, payment services, analytics tools, marketing tools, and other integrations to provide the Services.

Shopify and certain other providers may process information in connection with providing their services to us. Their own terms or privacy notices may also apply where they act for their own purposes rather than solely on our instructions.

Products and Product Information

We make reasonable efforts to display product descriptions, ingredients, packaging, colors, sizes, images, prices, availability, and other information accurately. Actual product appearance, packaging, formulation, labeling, or presentation may vary where permitted by law, including as products or packaging are updated.

We may modify or discontinue products, limit quantities, restrict sales by person or geographic region, or decline an order where reasonably necessary, subject to applicable law.

Any skincare, beauty, ingredient, routine, educational, or product-use information provided through the Services is for general informational purposes. It is not intended as medical diagnosis, medical advice, or individualized medical treatment. Products should be used in accordance with their labels and instructions. Nothing in these Terms limits any non-waivable rights relating to product safety, defective products, or consumer protection.

Orders and Acceptance

Submitting an order constitutes an offer to purchase the products identified in the order. Receipt of an automated order confirmation does not necessarily mean that we have finally accepted the order.

We may verify information, payment authorization, inventory, shipping eligibility, suspected fraud, pricing errors, or other relevant order details before accepting or fulfilling an order.

We may decline or cancel an order where reasonably necessary, including where a product is unavailable, payment cannot be authorized, information appears inaccurate, an order appears fraudulent or abusive, a pricing or inventory error occurred, we cannot lawfully ship the product to the requested location, or applicable law requires us to do so.

If we cancel an order after payment has been captured, we will issue an appropriate refund to the original payment method, subject to applicable law.

Pricing, Taxes, and Currency

Prices are displayed in the currency indicated on the website or at checkout. Unless stated otherwise, the price applicable to an order is the price shown when the order is placed.

Applicable sales tax, VAT, GST, duties, import charges, delivery charges, or other governmental charges may be added or handled as displayed at checkout or as otherwise required by law.

For future international shipments, the checkout or applicable Shipping Policy will identify, where reasonably possible, whether duties and import taxes are collected by us or may be payable by the recipient upon importation. We will not rely on these Terms to remove any tax, disclosure, or consumer-law obligation that applicable law places on us.

Payment

We may accept payment through payment methods made available at checkout. At launch, these may include Shopify Payments and PayPal, together with payment methods made available through them. Shop Pay may also be available where enabled.

Payment information may be processed directly by Shopify, PayPal, participating banks, card networks, wallet providers, fraud-prevention providers, and other payment partners. We generally do not need to receive the complete payment-card details that a payment processor uses to authorize a transaction.

We may add, replace, or remove payment providers in the future. For example, if Airwallex is later enabled, the Privacy Policy, vendor inventory, checkout disclosures, and applicable contractual documentation should be updated before or at activation rather than representing Airwallex as a current provider today.

Shipping and Delivery

Current shipping destinations, processing periods, shipping fees, estimated transit times, free-shipping thresholds, carrier restrictions, and other delivery terms are set out in our Shipping Policy.

Delivery dates and transit periods are estimates unless expressly guaranteed.

We may use third-party warehouses, fulfillment providers, 3PL providers, postal operators, couriers, freight providers, customs brokers, returns providers, and related logistics providers.

Nothing in these Terms limits rights a consumer may have when an order is materially delayed or cannot be shipped. Under the FTC Mail, Internet, or Telephone Order Merchandise Rule, U.S. sellers need a reasonable basis for stated shipment timing and, when they cannot ship within the applicable time, may be required to seek consent to delay or cancel and provide a prompt refund.

Returns and Refunds

Returns and refunds are governed by our Returns & Refunds Policy.

Our U.S. voluntary return policy generally permits eligible return requests within 30 days after receipt, subject to the conditions stated in that policy.

Any voluntary return policy is in addition to, and does not restrict, mandatory rights that cannot legally be waived. Different statutory cancellation, conformity, refund, or warranty rules may apply when we begin selling into jurisdictions outside the United States. For example, UK distance-sale law provides a statutory cancellation framework for many online consumer purchases, including a normal 14-day cancellation period for goods and rules governing reimbursement and return costs. EU consumers also benefit from statutory remedies where goods are faulty or not as advertised, including a minimum legal guarantee framework.

Promotions, Coupons, Discounts, Credits, and Gift Cards

From time to time, we may offer promotional codes, coupons, discounts, bundles, gifts with purchase, free-shipping promotions, promotional credits, gift cards, loyalty rewards, referral credits, early-access offers, limited-time promotions, or other promotional programs.

Each promotion may be subject to additional eligibility requirements, geographic limitations, dates, redemption limits, product exclusions, minimum-purchase requirements, combination restrictions, or other conditions disclosed with the promotion.

Unless otherwise stated or required by law, promotional offers have no cash value, cannot be applied retroactively to completed purchases, and may not be reproduced, resold, transferred, manipulated, or used through fraud, automated means, or abuse.

We may correct genuine technical or promotional errors and may suspend or cancel fraudulent or abusive participation, subject to applicable law.

Gift cards and stored-value products may be subject to separate terms and any applicable laws concerning expiration, fees, redemption, and refunds. Applicable law controls where it grants rights that cannot be waived.

Future Loyalty, Rewards, and Referral Programs

We may introduce loyalty, rewards, membership, referral, ambassador, community, or promotional-credit programs.

Any such program may have separate program terms describing eligibility, earning and redemption rules, expiration if lawful, prohibited conduct, account termination, and the treatment of rewards or credits.

Until a specific program has been selected and implemented, these Terms do not represent that any particular loyalty, review, or referral provider is currently in use.

Marketing Communications

When permitted by applicable law and based on the choices you make, we may send newsletters, product news, promotions, educational information, replenishment reminders, back-in-stock or availability messages, review requests, surveys, loyalty or referral communications, and similar customer-engagement communications.

Marketing messages are separate from operational or transactional messages that may be necessary to process an order, provide shipping information, address a return, secure an account, or deliver another service requested by you.

You may unsubscribe from marketing emails using the unsubscribe mechanism provided in those communications. Unsubscribing from marketing does not necessarily prevent us from sending non-promotional transactional or service communications related to an existing order or account.

U.S. commercial-email rules under CAN-SPAM apply to commercial messages and include requirements concerning sender identification, subject lines, postal information, and opt-outs.

Accounts

If customer accounts are offered, you are responsible for providing accurate information and maintaining the confidentiality of your account credentials.

You must notify us promptly if you reasonably believe your account has been compromised.

We may suspend or terminate an account for fraud, abuse, unlawful use, security reasons, violations of these Terms, or other legitimate reasons, subject to applicable law.

Reviews, Photos, Videos, and Other User Content

You may have opportunities to submit reviews, ratings, photographs, videos, comments, testimonials, survey responses, questions, social-media content, or other material (“User Content”).

You retain ownership of rights you hold in your User Content.

When you intentionally submit User Content to Depthiskin through a review, testimonial, community, promotional, campaign, or other feature intended for publication or marketing, or expressly grant us permission to reuse content, you grant Goodai Global USA Inc., Goodai Global and their affiliates, authorized licensees, service providers, and marketing partners a non-exclusive, worldwide, royalty-free license, to the extent permitted by law, to host, reproduce, display, publish, distribute, adapt for formatting, translate, and use that User Content in connection with the Depthiskin brand, the Services, advertising, social media, retail materials, and other brand communications.

This license does not mean that every photograph or document sent privately to customer support is automatically authorized for advertising use. Content submitted solely for support, a damage claim, a return, or another private operational purpose will not be treated as marketing UGC merely because it was provided to us.

You represent that you have the rights necessary to submit User Content and that its authorized use will not unlawfully violate the rights of another person.

We may moderate User Content for legitimate reasons such as spam, threats, unlawful content, privacy violations, irrelevance, or authenticity concerns, but we will not condition a review incentive on the review expressing a particular positive or negative sentiment. The FTC's Consumer Reviews and Testimonials Rule prohibits, among other conduct, fake reviews and incentives conditioned on a particular sentiment, while endorsement guidance requires material connections to be appropriately disclosed.

Feedback

If you voluntarily provide ideas or suggestions about our products or Services that are not submitted under a separate confidentiality agreement, we may use that feedback to improve our business without an obligation to compensate you, subject to applicable law.

Intellectual Property

The Services, including text, graphics, logos, trademarks, product names, photographs, videos, designs, software, layouts, and other content provided by us, are owned by or licensed to Goodai Global USA Inc., Goodai Global, or their respective affiliates or licensors and are protected by applicable intellectual-property laws.

Except as expressly permitted, you may not copy, reproduce, distribute, publicly display, sell, create derivative works from, scrape, commercially exploit, or otherwise use our protected materials without authorization.

Third-Party Services and Links

The Services may integrate with or link to third-party services, including payment providers, Shopify applications, social networks, advertising services, logistics services, customer-support tools, review providers, or other platforms.

Third-party services may operate under their own terms and privacy policies. We are not responsible for a third party's independent services except to the extent applicable law provides otherwise.

Prohibited Uses

You may not use the Services to violate applicable law; commit fraud; infringe intellectual-property, privacy, publicity, or other rights; submit malicious code; interfere with security or operation; scrape or harvest information through unauthorized automated means; impersonate another person; engage in payment fraud or chargeback abuse; manipulate reviews, referrals, rewards, promotions, or discount systems; or otherwise misuse the Services.

Errors and Corrections

We may correct typographical errors, inaccurate product information, inventory errors, pricing errors, promotion errors, or other mistakes.

If a material error affects an order already placed, we will address the order in a manner consistent with applicable law and, where appropriate, give you the opportunity to proceed under corrected terms or receive a refund.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the website and non-product informational portions of the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the website will be uninterrupted, error-free, or completely secure.

Nothing in this provision disclaims or limits warranties, consumer guarantees, product-liability obligations, or other rights that cannot lawfully be excluded.

Limitation of Liability

To the maximum extent permitted by law, Goodai Global USA Inc. and its affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of or inability to use the Services where such damages may lawfully be excluded.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited by law, including any non-waivable liability applicable to personal injury, fraud, intentional misconduct, defective products, statutory consumer rights, or other protected claims.

Indemnification

To the extent permitted by law, you agree to be responsible for losses or claims arising from your unlawful misuse of the Services, your material violation of these Terms, or User Content you submit in violation of another person's rights.

This provision does not require a consumer to indemnify us for losses caused by our own unlawful conduct or for liability that cannot lawfully be shifted.

Force Majeure

We will not be responsible for delays or failures caused by events beyond our reasonable control to the extent permitted by law, including natural disasters, severe weather, transportation disruptions, labor disruptions, governmental action, war, civil disturbance, widespread telecommunications or infrastructure failures, or other extraordinary events.

Mandatory consumer rights relating to delayed or undelivered orders remain unaffected.

Governing Law and Disputes

To the extent permitted by applicable law, these Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles.

Subject to mandatory rights that may allow a consumer to bring a claim in another jurisdiction, disputes not otherwise resolved may be brought in an appropriate state or federal court located in or serving Orange County, California.

For customers outside the United States, this choice of law does not deprive you of mandatory consumer protections that your local law does not allow you to waive.

Important arbitration decision

This draft intentionally does not currently impose mandatory individual arbitration or a class-action waiver. Those provisions are common in U.S. consumer Terms but are sufficiently consequential that they should not be inserted generically without deciding the business's litigation strategy, arbitration forum, fees, opt-out procedure, scope, and international-consumer carve-outs. This is one of the few Terms provisions I would not recommend “future-proofing” with a generic template.

Changes to These Terms

We may update these Terms from time to time to reflect changes to our Services, business operations, technology, or legal requirements.

The “Last Updated” date will identify the current version. Where applicable law requires additional notice or consent for a material change, we will provide it.

Changes will not retroactively eliminate rights relating to completed transactions where applicable law does not permit us to do so.

Severability, Waiver, and Assignment

If any provision is determined to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

A failure to enforce a provision on one occasion does not necessarily waive the right to enforce it later.

We may assign these Terms as part of a merger, acquisition, corporate reorganization, sale of assets, or similar business transaction, subject to applicable law.

Entire Agreement

These Terms together with incorporated policies and any transaction- or program-specific terms constitute the applicable agreement regarding use of the Services and purchases made through the store, subject to mandatory law.
